Should I form an LLC or an S-corporation?
The right choice depends on your goals, number of owners, and tax situation. LLCs offer maximum flexibility in management and profit distribution. S-corporations may offer self-employment tax savings for profitable businesses where the owner-operator draws a salary. In many cases, you can form an LLC and elect S-corp tax treatment. Do I really need a custom operating agreement?
Yes — especially for multi-member businesses. Florida's default LLC statute fills gaps when there is no operating agreement, but those defaults rarely reflect what the parties actually intended. A custom operating agreement governs how profits are distributed, how decisions are made, what happens if a member wants to leave, and how disputes are resolved. Without one, a business disagreement can become a costly legal fight with no clear rules to follow.
What is a BOI report and does my business need to file one?
The Beneficial Ownership Information (BOI) report is a federal filing requirement under the Corporate Transparency Act that requires most small businesses to disclose their beneficial owners to FinCEN. The filing and enforcement landscape has been subject to ongoing litigation and regulatory changes — Prince Legal monitors developments and advises clients on current obligations so you stay compliant without filing unnecessarily.
Are non-compete agreements enforceable in Florida?
Florida is one of the most employer-friendly states on non-competes. Under Florida Statute 542.335, non-compete agreements are enforceable if they protect a legitimate business interest and are reasonable in time, area, and line of business. Courts will enforce them — and blue-pencil overly broad provisions rather than void them entirely. Whether you are drafting one or reviewing one you have been asked to sign, legal review is strongly advisable.
What should be in my client service agreement?
At minimum: a clear scope of services, payment terms and late fee provisions, ownership of work product and IP, termination rights and notice periods, a limitation of liability clause, and a dispute resolution provision. Many business owners use informal agreements or email threads that create real exposure when a client relationship goes wrong. A well-drafted service agreement is one of the highest-ROI legal investments a small business can make.
